Introduction

Continental English Educators Limited or Continental English Educators or CEE is an educational recruitment organization whose Website and/or Application Software service is a Platform on which accredited educational institutions and/or private individuals may connect with, conduct interviews with, and/or hire qualified educators, with native level English language proficiency, either in person or online; as well as for qualified educators to seek employment, provide private tutoring services, including online and/or in-person, around the world. The following is a legally binding document defining the Terms and Conditions of Continental English Educators Limited, including its Website and/or Application Software service.

1.1 The set forth Terms and Conditions govern your use of the website/s https://ceeducators.com, including the Continental English Educators Limited Portal and/or Portal, and/or Application Software service, and our Articles, Sub-articles, and Clauses of various online services and resources via those Websites and/or Application Software service.

1.2 Our Privacy Policy, incorporated within the set Terms and Conditions, describe how Continental English Educators Limited will use any personal and/or institutional information collected as a result of the Continental English Educators Limited service. 1.3 The brand Continental English Educators Limited or Continental English Educators or CEE and/or the words we, our, us refers to the owner of the Site, including the Continental English Educators Portal or Application Software service. Whereas the term/s ‘you’ or ‘your’, refer to the User/s of, or visitors browsing, our Site, including the CEE Portal and/or Application Software service.

1.4 If you should decide to continue browsing and/or using this Site, including the CEE Portal or Application Software, you agree to abide by and be bound by the following terms and conditions of use, which, in conjunction with the CEE Privacy Policy, govern the Continental English Educators relationship with you regarding the use and/or browsing of this Site and/or the CEE Portal or Application Software service. If you disagree and/or are contrary to any of the set forth Terms and Conditions and/or our Privacy Policy, please do not use our Site, CEE Portal and/or Application Software service.

1.5 By using our Site, including the CEE Portal and/or Application Software service, you acknowledge and agree that:

1.5.1 any content within the pages of this Site is for your general information;

1.5.2 CEE nor any third parties provide any guarantee or warranty;

1.5.3 any use of materials and/or information on the Site is solely at your own risk;

1.5.4 the Site may periodically provide or advertise links and/or external links and that these links are displayed and/or provided for your convenience and/or benefit;

1.5.5 CEE does not endorse any links to any and/or all websites provided on the Site, including the CEE Portal and/or Application Software service;

1.5.6 CEE bears absolutely no responsibility for any and/or all content within the linked websites provided;

1.5.7 users may Accept or Reject our Site’s use of cookies, to monitor browsing preferences, viewing and/or using the Service provided on our Website, CEE Portal and/or Application Software service.

1.6 By using our Site, the CEE Portal and/or Application Software service, you acknowledge and agree that you will not use this site for the purpose of:

1.6.1 transmitting any material that promotes any criminal behaviour that constitutes any criminal offense under international law (subject to Article 38 within the United Nations International Court of Justice) and/or the laws of the respective sovereign nation in which you are accessing our Site, including the CEE Portal and/or Application Software service, from;

1.6.2 transmitting any content and/or material that:

1.6.2.1 is false, misleading, and/or defamatory

1.6.2.2 results in civil liability, breaches of any applicable laws, and/or regulation or code of practice;

1.6.3 encouraging and/or disseminating anything unlawful, obscene, racist, threatening, vulgar, abusive, harassing, pornographic and/or sexually explicit material, intrude and/or violate any third parties’ privacy rights, the exploitation of people and/or human trafficking, defamatory, and/or objectionable material and/or breach of any laws (aforesaid in Article 1.6.1) against any group and/or individual;

1.6.4 interfering and/or disrupting with the Site, namely spreading and/or transferring viruses, persistently posting repetitive materials (including material not permitted by CEE, including unauthorized advertising and/or unsolicited promotional materials, sales arrangements, “spam mail”, “junk mail”, “chain letters”, lotteries, prizes, pyramid schemes, sweepstakes, distributorship, membership, franchises, and/or otherwise unacceptable materials;

1.6.5 violating any Users’ and/or third party’s privacy rights, personal rights, and/or human rights by abusing the Materials, including, but not limited to, sending unsolicited emails, collection of personal information, and/or the aforesaid agreements in Article 1.6.3;

1.6.6 attempting to access or accessing any login and/or account of any third party listed on the Site, as well as impersonating another User and/or person;

1.6.7 using any mechanism, device, and/or process (i.e., web crawler, Internet bot, spider) to retrieve, acquire, and/or access the Site, CEE Portal, and/or Application Software service without the prior written consent of CEE;

1.6.8 taking, using, transmitting, and/or storing physical and/or electronic copies of materials protected by copyright without our and/or any third party’s (that CEE may have a link to displayed on the Site) consent.

1.6.9 breaching or attempting to breach any of the Site’s security measures.

1.7 You acknowledge and agree to not infringe upon:

1.7.1 the brand name “Continental English Educators” and/or CEE;

1.7.2 the CEE official logos (including that which is displayed on the Site and/or that which is displayed within the CEE Portal and/or Application Software service) and/or the official CEE slogan;

1.7.3 any of the Site’s, CEE Portal, and/or the Application Software service’s intellectual property and/or proprietary rights of any third party. 

2.1 Although CEE prudently conducts the collation and presentation of the content provided on this Site, the CEE Portal, and/or its Application Software service, it is administered solely for the purpose of information with regards to employment services within the field of education.

2.2 It is the responsibility of the User/s to inquire further rather than to completely depend on it.

2.3 CEE cannot guarantee that the Site Platform, the CEE Portal and/or Application Software Platforms will be free of any fault and therefore reserve our right to be free of being held of any liabilities with regards to any information provided on the CEE Site, Portal, and/or Application Software service.

2.4 If CEE is informed of any inaccurate information and/or content provided within the Site and/or CEE Portal and/or the Application service, including the availability of the Site Service, CEE Portal and/or Application Software service, CEE will do its best to correct the matter as soon as possible. 

3.1 Continental English Educators reserves the right to periodically update its Terms and Conditions and/or Privacy Policy at its own discretion.

3.2 Any recently revised Terms, or revision/s about to be made within our Terms and Conditions and/or Privacy Policy will be displayed with a notice and date at the top of the Terms of Service and/or Privacy Policy page/s.

3.3 By continuing to use our Site and/or Services, including within our CEE Portal and/or Application Software service, following any changes, you acknowledge and accept the updated Terms and Conditions and/or Privacy Policy.

3.4 We would advise Users to periodically review our Terms and Conditions and/or Privacy Policy for any future update/s and/or changes, as well as any revisions.

4.1 In order to use the CEE Services, including the Site, CEE Portal and/or Application Software service, to seek educational employment, you may be required to register your profile and provide information about yourself, and therefore acknowledge and agree to:

4.1.1 provide truthful and complete information about yourself, including but not limited to:

4.1.1.1 your first and last name, date of birth, gender, phone number, and nationality;

4.1.1.2 job title, school subjects you are qualified to teach, cover letter, and work experience;

4.1.1.3 profile photo and introduction video;

4.1.1.4 skills, honours and/or awards, education and/or any scanned and uploaded official diploma/s and/or official accreditation and/or official certificate/s;

4.1.2 being over the age of 21 in order to be registered as a CEE Educator and/or person seeking employment within the sphere of education;

4.1.3 any scanned and uploaded official diploma/s and/or official accreditation and/or official certificate/s, provided by you, as required for registration within the CEE Educator Registration form and/or procedure, to being the original document/s;

4.1.4 provide a brief introduction video for verification purposes proving your English language level is that of native proficiency;

4.1.5 update your resume, contact information, introduction video, profile photo, and/or qualifications every 7 years by updating your My Profile page and/or My Resume page;

4.1.6 updating your profile picture and introduction video every 7 years, as it is obligatory, regardless of whether or not your employment and/or contact information has not changed. Failure to update your profile picture and introduction video every 7 years will prevent you from applying for and/or shortlisting for jobs and/or vacancies posted on CEE.

4.2 In order to register your profile and/or account, you must fill in mandatory fields, which include:

4.2.1 your first and last name, date of birth, gender, and nationality;

4.2.2 your job title, school subjects you are qualified to teach, and work experience;

4.2.3 your email address, profile photo and introduction video;

4.2.4 your education, including at least one and/or a maximum of three scanned and uploaded official diploma/s and/or official accreditation and/or official certificate/s;

4.3 CEE reserves the right to deny your registration and/or suspend, expel, and/or terminate your account and/or any or all rights that have been given you for the use of our Site and/or CEE Portal or Application Software service at its sole discretion, if any of the information you have provided turns out to be incomplete, inaccurate, and/or false.

4.4 Registering on our Site requires you to create a password, thereby permitting you access to your account. Therefore, you acknowledge and agree to:

4.4.1 keeping your email login and password (“Login Information”), including any third-party login and password information used to sign in and/or sign up with CEE, safe and secure to guarantee that they are not used without your consent;

4.4.2 promptly notify us of any unlawful and/or unauthorized use of your account and/or any security breach;

4.4.3 make certain that you log out of your account at the end of each session;

4.4.4 being solely held accountable for any breaches of the Terms and Conditions that result from the use of your username and password to gain access to the Site, CEE Portal and/or Application Software service whether authorization has been received by you or not;

4.4.5 CEE bearing absolutely no responsibility and/or liability to any loss and/or damages in consequence of your failure to abide by the aforesaid obligations in Section 4 Article 4.3, together with sub-articles 4.3.1, 4.3.2, 4.3.3, and/or 4.3.4.

4.5 CEE will not be held responsible and/or liable for:

4.5.1 any deleted, failed, and/or storing error messages;

4.5.2 any information transmitted and/or communications by our Site, CEE Portal, and/or S Application Software service.

4.6 You hereby acknowledge that if you wish to use the Service and/or to seek and/or gain employment using the CEE Site, Portal, and/or Application Software service, that you hold a minimum of an Early Years Certificate, or an internationally accredited English language teaching certificate such as TEFL and/or CELTA Certification, or a Bachelor’s degree, received from an accredited school and/or institution and/or university listed within the CEE Educator’s Resume section under the Educators Education and subsection Institution drop down list. Moreover, the Educator will also be adjudged to be a “Qualified Teacher”, and/or “Certified Teacher”, and/or “Qualified Educator”, and/or “Certified Educator”, and therefore will be bound to the afore mentioned Terms of Service within Section 4 Article 4.1.

4.7 CEE does its utmost to connect teachers and/or educators with accredited schools and/or international institutions and/or private families and/or individuals and vice versa. However, it is your sole responsibility to ensure your own safety after you are hired by a school and/or institution and/or private family and/or private individual when using our CEE Site, Portal and/or Application Software service for job seeking, online teaching, and/or tutoring, and/or educational freelancing purposes. Therefore, you acknowledge and agree to:

4.7.1 CEE sharing your profile information, excluding your date of birth, email address, and phone number, with accredited educational institutions for the purpose of communication, between you and accredited schools and/or educational institutions registered with CEE, and/or employment within the sphere of education as an educator, teacher, and/or tutor at an educational institution and/or accredited school registered with CEE;

4.7.2 you being solely responsible on choosing whether or not to share your profile information from your Settings tab within your Educator Dashboard, and/or sharing your general information upon initial contact, with private corporations/institutions, and/or private individuals for the purpose of providing private educational services, in-tutoring, and/or online teaching or tutoring using the CEE Portal and/or Application Software service.

4.7.2 you being solely responsible for your own affairs after an employment contract and/or agreement has been agreed upon by you and the educational institution, and/or private corporation/institution, and/or private individual;

4.7.3 CEE not being held responsible or liable in any way after you have reached an employment contract and/or agreement with any institution and/or private individual for a teaching position at a school and/or a tutoring position at a private property and/or public property;

4.7.4 being adjudged as an “Educator” if you want to use the Jobs Service, in which case Sections 1, 2, 3, and 4 of the CEE Terms of Service will apply.



4.8 CEE will provide its registered Educators with the Job Search Services at no cost taking into account your acknowledgment and/or agreement with the provisions of the set forth Terms and Conditions. The Educators Job Search Services will consist of the following:

4.8.1 access to our list of job vacancies posted on the Site and/or CEE Portal or Application Software service (“job” and/or “jobs” shall be duly interpreted) by Employers;

4.8.2 the amenity to create your Educator Profile and resume on the Site for Employers to view;

4.8.3 the amenity to apply for the Job/s and to submit your profile to the Employer/s;

4.8.4 access to and use of the Site’s, and/or CEE Portal or Application Software service’s, features and functions to manage and/or record and track the Job/s you have applied for to maintain correspondence between you and the Employer/s;

4.8.5 CEE will make available your profile and/or Job/s you have applied for only to legally registered and/or licensed Educational Institutions, according to the respective nation’s laws in which they are located, within our Site Service. However, for any freelancing, and/or online, Educators who seek to access and use the CEE Portal or Application Software service, selected information about yourself will be shared as aforesaid in Sub-article 6.6.4 in our Terms and Conditions;

4.8.6 Upon registration as an Educator, your Profile visibility settings will be automatically visible to you, and/or any registered and/or accredited International School, and any accredited and/or registered and/or licensed Educational Institution. CEE will not be held responsible and/or liable for any breaches of privacy and/or confidentiality in case any breaches stem from your use and/or misuse of your Profile;

4.8.7 If you would like to apply for any Jobs posted on our Site, you acknowledge and agree to all the details of your Profile will be accessible to the Employer/s and/or Educational Institution/s whose job posting/s that you have applied to and/or accredited Educational Institutions seeking candidates, to fill in their vacancies, on the CEE platform;

4.8.8 CEE shall not be held responsible and/or liable for any information within your Profile. We check all required information including resume, photo, qualifications, and your introduction video for the purpose of verifying your English language proficiency as aforesaid in Section 4, Article 4, Sub-article 4.1.1, to the best of our ability;

4.8.9 CEE shall not be held responsible and/or liable for any steps taken and/or inaction by the Employer resulting from the viewing of your Profile;

4.8.10 If you do not update your resume and/or profile at least once every 7 years, your Profile will be de-activated. In other words, you will not be able to apply for or shortlist any Jobs posted on our Site. Moreover, your resume and/or Profile will no longer be searchable by any registered Educational Institutions. Nevertheless, any Jobs you have applied for prior to deactivation of your Profile will still be accessible by the Employer that you have applied with;

4.8.11 If you have purchased access to the CEE Portal or Application Software service your Profile can not be deactivated, regardless of your profile not being updated and/or login inactivity on the Site, for the duration and/or validity of your purchase.

4.8.12 The CEE Jobs application service is provided to entitle registered Educators to fill out online resumes and cover letters to Educational Institutions. However, the CEE Portal or Application Software service provides Educators with access to Educational Institutions, online students, private corporations and/or private individuals seeking to provide themselves with tutoring services and/or any other service within the field of education for the purpose of education.

4.9 You hereby acknowledge and agree that using the CEE Jobs search and/or application is strictly for your own personal use.

4.10 You hereby acknowledge and agree that it is your sole responsibility to:

4.10.1 ensure proper qualification/s, experience, and/or skills described within the requirements of the vacancy and/or vacancies you are applying for;

4.10.2 verify the identity of the Employer/s.

4.11 By using the Job Search Service, you hereby acknowledge that it is your sole responsibility to:

4.11.1 manage your employment application process for job vacancies posted by the Employers;

4.11.2 research the identity and/or institution of the Employer;

4.11.3 understand and acknowledge the set forth professional requirements required by any and/or all Employers as defined in any and/or all vacancies posted within the Jobs List and/or the CEE Site and/or the CEE Portal or Application Software service;

4.11.4 ensure you have all required information regarding any health and safety risks with respect to any and/or all vacancies posted within the Jobs List and/or the CEE Site and/or the CEE Portal or Application Software service;

4.11.5 provide all additional information (in addition to what that within your resume posted on the CEE Site and/or the CEE Portal or Application Software service) requested by the Employer, including but not limited to other supporting documents such as passport, additional qualifications, and/or background check;

4.11.6 verify that you have, and/or can acquire, the legal right and/or authorization to work in the nation applicable to the vacancy listed by any Employer.

4.12 When you apply for a vacancy listed, within the Jobs List and/or the CEE Site and/or the CEE Portal or Application Software service, you hereby acknowledge that you will:

4.12.1 not provide information (including, but not limited to, name, phone number, date of birth, qualifications, resume, and any other supporting documents) which you know to false, inaccurate, incomplete, and/or may be subject to misrepresentation of the facts;

4.12.2 provide any additional information requested of by the Employer/s (including, but not limited to qualifications, work references, experience, proof of identity, and/or background check);

4.12.3 take responsibility and precaution not to violate any of the set forth terms and/or agreements set out in your employment contract when you apply for a job listed within the Jobs List and/or the CEE Site and/or the CEE Portal or Application Software service;

4.12.4 promptly notify CEE if you have proof and/or have reason to believe that an Employer and/or any other User has violated any of its Terms and Conditions under Section 5 and/or Section 6 of the CEE Terms and Conditions.

5.1 In order to use the CEE Services, including the Website, the CEE Portal and/or Application Software service, for the purpose of employing a CEE registered Educator and/or Educators, you may be required to register and provide information about yourself and/or your institution and/or organization, and therefore acknowledge and agree to:

5.1.1 provide truthful and complete information about yourself and/or organization, including but not limited to, your institution’s full name, location and/or address of your institution and/or company, your institutional and/or company logo, a written description (no less than 250 characters) of your institution and/or company, your institutional and/or company website address, your email address, and your phone number, within the CEE Employer Registration form that can be found at https://ceeducators.com/employer-account/ ;

5.1.2 provide a brief and/or complete history, if requested of by CEE, of your institution and/or school and/or private corporation, or yourself (if you are looking to employ an Educator) including, but not limited to, how long the institution and/or school and/or corporation has been operating for, the field of business in which your organization operates in, and/or, if you have ever hired an Educator and/or Educators in the past;

5.1.3 update your information upon the renewal date of our online Recruitment Service package and/or contact between you and CEE, via use of the Site’s registration form and/or emailing us at hr@ceeducators.com .

5.2 CEE reserves the right to deny your registration and/or suspend, expel, and/or terminate your account, including any or all rights that have been given you for the use of our Site and/or CEE Portal or Application Software service, at its sole discretion, if any of the information you have provided turns out to be incomplete, inaccurate, and/or false.

5.3 Registering on our Site requires you to create a password, thereby permitting you access to your account. Therefore, you acknowledge and agree to:

5.3.1 keeping your username and password (“Login Information”) safe and secure to guarantee that they are not used without your consent;

5.3.2 promptly notify us of any unlawful and/or unauthorized use of your account and/or any security breach;

5.3.3 make certain that you log out of your account at the end of each session;

5.3.4 being solely held accountable for any breaches of the Terms and Conditions that result from the use of your username and password to gain access to the Site and/or Service whether authorization has been received by you or not;

5.3.5 CEE bearing absolutely no responsibility and/or liability to any loss and/or damages in consequence of your failure to abide by the aforesaid obligations in Section 4 Article 5.3, together with sub-articles 5.3.1, 5.3.2, 5.3.3, and/or 5.3.4.

5.4 CEE will not be held responsible and or liable for:

5.4.1 any deleted, failed, and/or storing error messages;

5.4.2 any information transmitted and/or communications by our Site and/or CEE Portal or Application Software service.

5.5 You hereby acknowledge and agree that the term “Educational Institution” and/or “Educational Institutions” and/or “you” and/or “your organization” refers to:

5.5.1 any and/or all Public Pre-Schools and/or Private Pre-Schools using the CEE Service and/or CEE Portal or Application Software service;

5.5.2 any and/or all Public Elementary Schools and/or Private Elementary Schools using the CEE Service and/or CEE Portal or Application Software service;

5.5.3 any and/or all Public Secondary Schools and/or Private Secondary Schools using the CEE Service and/or CEE Portal or Application Software service;

5.5.4 any and/or all Universities and/or Colleges and/or Institutions for Higher Education using the CEE Service and/or CEE Portal or Application Software service;

5.5.5 any and/or all Learning Centers and/or all Private, Public, or Government Institutions using the CEE Service and/or CEE Portal or Application Software service;

5.6 You hereby acknowledge and agree that the term “Educator” and/or “Educators” and/or “candidate” and/or “candidates” refers to:

5.6.1 any qualified teacher and/or all qualified teachers within all academic subjects (using the CEE Service and/or CEE Portal or Application Software service) as defined by any and/or all private Educational Institution/s and/or any and/or all Sovereign Nation’s National Standards;

5.6.2 any qualified person, possessing the appropriate credentials, seeking employment within the sphere of education;

5.6.3 any and/or all private tutors, homeschool educators, and/or governors and governesses using the CEE Recruitment service and/or Application Software service.

5.7 You hereby acknowledge and agree that if you and/or your organization wish to use the Service and/or to hire and/or recruit any of the Educators registered on the CEE Site and/or CEE Portal or Application Software service, that you will be adjudged to be an Educational Institution and/or “Private Corporation” or “Private Individual” and therefore will be bound to the afore mentioned Terms within Section 5 Article 5.1.

5.8 Although CEE does its utmost to vet and/or screen Educators, including qualifications and criminal background checks, it is solely the responsibility of the Educational Institution and/or private corporation and/or private individual to review the accreditation of any diploma/s and/or certificates the Educator/s has uploaded onto the Service and/or has declared within their resume. Therefore, you acknowledge and agree that:

5.7.1 CEE shall not be held responsible and/or liable for any inaccurate or incomplete details the Educator/s has/have provided within their CEE Educator profile;

5.7.2 you will immediately report of any Educator that has provided any false, inaccurate, and/or untruthful information about themselves as described in Section 4 Sub-article 4.1.1 via email to info@ceeducators.com ;

5.7.3 it is your sole responsibility to authenticate the Educator’s qualification/s and or accreditation by any means you and/or your organization deem necessary before hiring any Educator using the online Recruit Candidates Service;

5.7.4 it is your sole responsibility to conduct a criminal background check on the Educator/s after hiring the Educator/s and prior to any official contract signing you and/or your organization and/or your Educational Institution may require when using the online Recruit Candidates Service;

5.7.5 CEE is not responsible or liable for absolutely anything that may occur with regards to your recruiting and/or employment of any and/or all our registered Educators.

5.9 You hereby acknowledge and agree that if you should hire and/or require CEE to carry out the recruitment of an Educator and/or Educators including, but no limited to, conducting interviews, and authenticating all qualifications to provide you and/or your organization and/or Educational Institution with a Candidature List and/or one of our registered Educators then you acknowledge and agree to:

5.9.1 CEE receiving all necessary information from you regarding exactly the type of Educator and/or Educators you are seeking including, but not limited to, years of experience, skills, specialized field/s, types of qualifications and/or certifications, and/or level and/or age group they teach or educate;

5.9.2 CEE conducting and recording interviews (including providing you with a copy of the recorded interviews);

5.9.3 CEE providing you with apostilled qualifications and/or certifications;

5.9.4 CEE following up on the candidate/s or Educator/s provided references;

5.9.5 you yourself and/or your organization and/or Educational Institution are solely responsible to carry out the Educator’s apostilled criminal background check;

5.9.6 negotiating and agreeing to the set contract terms (which will be provided in a separate legal document) with CEE regarding the CEE recruiting process of selected candidates.

5.10 You hereby acknowledge and agree that if you are an Educational Institution and/or a Private Corporation, CEE reserves the right to share your profile information including, but not limited to, your institutional logo, corporate logo, name, email, phone number, approximate location with our registered Educators for the purpose of potential employment and/or employment within the sphere of education either as an educator at an educational institution and/or private corporation or private residence or as a freelancing private tutor.

5.11 You hereby acknowledge and agree that only Educational Institutions are permitted to use the Site Service, whereas the CEE Portal or Application Software service is available to be used by anyone over the age of 18 regardless of race, gender, sexual orientation, and/or ableism.

5.12 Employers using the CEE Site will gain access to the features and functions of Access Educators (which includes Shortlisting Candidates, viewing Educators’ resumes, and contacting Educators) and/or Post New Job, only after having been registered and approved as and Educational Institution (as defined in Section 5 and all of its aforementioned articles) and User of the Site, including having obtained any of the required Package/s for enabling the Access Educators and/or Post Job functions. Therefore, you acknowledge that:

5.12.1 you must provide sufficient information within your Employer registration procedure;

5.12.2 CEE reserves the right to reject your application for registration in case you do not provide sufficient information proving that you are an Educational Institution, as defined in Section 5 and all of its aforementioned articles.

5.13 You hereby acknowledge that your access to the features and functions of Access Educators, which includes viewing Educators’ resumes, and Post New Job will end upon the termination of your Contract with CEE and/or the expiry of any Employer Package you have purchased on the Site.

5.14 In case you sign any Contract with CEE, including the CEE Recruitment Service and/or purchasing any of the CEE Employer Packages, you hereby acknowledge and agree that the Contract and/or Employer Package:

5.14.1 will commence on the date CEE sends you, via email, CEE’s conformation message of the Contract between you and CEE and/or purchase of any CEE Employer Package;

5.14.2 will be immediately terminated on notice if CEE has evidence of terms being breached (as defined in the of Section 1, Articles 1.6 and 1.7) or has reason to believe that:

5.14.2.1 there has been fraudulent activity, use, misuse, and/or abuse of the Access Educators, Post New Job Service, and/or Site;

5.14.2.2 you have provided CEE with inaccurate, misleading, and/or false information in using the CEE Access Educator and/or Post New Job Service;

5.14.2.3 you are involved in the resale of any of CEE’s intellectual properties including the CEE Access Educator and/or Post New Job Service;

5.15 CEE reserves the right to carry out procedures, for the purpose of verification and security, regarding all information provided by you to CEE. Therefore, if CEE has evidence and/or has reason to believe that the information you have provided to use the CEE Site and/or have access to the Access Educator or Post New Job Service, breaches any provisions set out within the CEE Terms and Conditions, CEE may, at its sole discretion without limitation, terminate your Contract and/or CEE Account.

5.16 At the end of your Contract and/or expiry of any CEE Employer Package you have purchased, you will no longer have access to the Access Educator or Post New Job Service. Moreover, upon expiration of your Contract, CEE may remove all Employer information, any Job Post, and/or Access Educator Service.

5.17 All of CEE’s Employer Packages and/or Contracts, including the Access Educator and/or Post New Job Service within the Employer Packages, are non-refundable. Contracts alone may be renegotiated, in which additional service fees may be applied.

5.18 The CEE Employer Packages, including the Access Educator, Post New Job Service, and CEE Premium On Demand will allow you to:

5.18.1 post and/or remove Vacancies, to or from, the Site, including Job Details for each Job Posting;

5.18.2 edit or make changes to each of your Job Postings within a 24-hour period, commencing from the time at which the Job Posting/s was/were uploaded onto the CEE Site. Any changes that need to be made after the 24-hour threshold has expired must have CEE’s written permission, at its sole discretion, and administrative given access to do so;

5.18.3 search, shortlist, direct message, and/or view the CEE Educator database and/or any CEE Educator who has applied for your Job Posting/s, at a limit depending on which Employer Package/s you have purchased;

5.18.4 view Transactions (including transaction history), Job Alerts (including Educators that have applied to your Job Posting/s), shortlisted Resumes, Packages you have purchased on the Site (including a historical account of Packages you purchased), and/or Manage Jobs (as defined in Section 5, Sub-Article 5.18.2).

5.19 With regards to the CEE Educators Database, CEE provides Employers with the:

5.19.1 identity of the Educator;

5.19.2 Educator’s photograph, qualifications, experience according to the date from which the Educator has or had started his or her teaching career from, professional skills, awards, and brief introduction video (which must be updated every 4 years);

5.19.3 Educator’s job title, nationality, and teaching subjects that the Educator is qualified and/or able to teach;

5.19.4 direct messaging platform to send CEE Educators and/or any Educator, so long the Educator has not turned off the Allow Employers to Contact You switch. If the Educator has applied to one of your Job Postings, then you will be able to direct message them regardless of whether the Educator has switched their “Allow Employers to Contact You” Setting on or off.

5.20 Any Job Posting posted must be paid for, prior to the Job Post/s appearing on the Site’s Jobs List, at a price specified in the Employer Package you have selected. Moreover the Employer will be obligated to provide the following information below for any and/or all job vacancies the Employer posts on the CEE website:

5.20.1 the name and/or identity of the recruiting institution;

5.20.2 the Employer’s and/or employing Institution’s website

5.20.3 a thorough description of the vacancy role, including but not limited to, the work duties, subject of teaching, age and/or grade level of teaching, the desired characteristics of the type of employee and/or Educator, remuneration and benefits, visa and/or travel information, health and safety risks associated with the vacancy position, and any other information Educator and/or potential employee may find useful before making the decision to apply for the Employer’s Job Post;

5.20.4 the location, including the Complete Address, Country and City, of the vacancy and/or Job Posting and/or Institution in which any potentially selected candidates will be employed;

5.20.5 the Job Type, including whether the position is a Full Time, Part Time, Substitute, and/or Temporary position;

5.20.6 the Category and/or level of the position, including whether the position is at the Early Years, Elementary, Secondary (High School), or Post Secondary (University/College) level;

5.20.7 the required Minimum Qualifications any potential candidate should possess in order to be selected for the vacancy and/or Job Posting;

5.20.8 the required Experience, in amount of years, any potential candidate should possess in order to be selected for the vacancy and/or Job Posting;

5.20.9 the job application deadline date for which Educators registered with CEE must submit their applications by;

5.20.10 the projected start date for any potentially selected candidate will begin teaching and/or be employed by the Employer;

5.20.11 the Teaching Subject, Position, and Salary to be selected from the CEE provided drop down lists;

5.20.12 the duration of the employment Contract to be selected from the CEE provided drop down list.

5.21 Any Job Posting posted by you will be viewable to all Users of the Site, however, only registered Educators will be able to apply to any of your Job Postings.

5.22 Any Job Posting posted by you will be viewable to all Users of the Site for a duration specified within any Single Job Post, Job Posts Employer Package you have purchased, and/or Contract you have signed with CEE. Moreover, any Job Posting posted by you will be removed from the CEE Jobs List once having reached the expiry of the duration set out in the Single Job Post package, any Job Posts Employer Package you have purchased, and/or Contract you have signed with CEE from the first date of confirmation by email confirming your purchase and approval of the Employer Package, CEE Contract, and/or Single Job Post you have purchased.

5.23 Any Job Posting posted by you will be immediately activated and viewable upon approval and payment, after which you may edit your Job Posting within the first 24 hours from the initial approval by the CEE administrators; once the 24-hour duration of being able to edit your Job Post has expired, the Job Post will no longer be editable. Furthermore, any edited Job Posting must go through the same approval process as any new Job Posting for it to be permitted on the CEE website. You also have the option of deleting your Job Post, however, by doing so, the Job Posting will no longer be visible to Users and you will only be able to re-post the Job Posting at a cost of your remaining Job Post credits, outlined within each Job Post Employer Package, or by purchasing an additional Single Job Post.

5.24 Regarding Job Posting expiry dates you agree:

5.24.1 that any Job Posting posted that has been denied approval and recompensed to you in the form a Single Job Post Credit will still be subject to the expiry date, outlined within the Single Job Post Purchase, from the date of the initial purchase;

5.24.2 that any recompensed Single Job Post Credit that has not be utilized and posted on the Site Jobs List and/or Featured Jobs List by the set expiry date will not be reset, will be lost as a Job Post Credit, and can not be used after the initially set expiry date;

5.24.3 that if any recompensed Single Job Post Credit is posted on the Site on and/or after the date of initial purchase, will still expire and be removed ,from the Jobs and/or Featured Jobs Lists, on the set expiry date from the date of initial purchase;

5.24.4 that and Job Post you have deleted, will still be subject to the expiry date outlined within the Job Post Employer Package you have purchased;

5.24.5 that there will be no extension in duration for any Job Post if you have deleted it for any, or the whole period of, time set out in the Job Post Employer Package you have purchased and/or CEE Contract you have agreed upon.

5.25 CEE reserves the right to deny, remove, and/or edit, without any refund, any Job Postings uploaded onto the Site, at its sole discretion with or without notice to the Employer, if it has reason to believe that you have not complied with the Terms and Conditions set forth within the Employer Terms and Conditions set out in the CEE Terms and Conditions, including, but not limited to, failure to provide the above stated conditions for any Job Posting made by Employers in Article 5.20, Clauses 5.20.1 to 5.20.12.

5.26 You acknowledge and agree that the CEE Service, including but not limited to the Employer Service, provides you with a Service that depends on third party suppliers. Therefore, you acknowledge that:

5.26.1 CEE’s ability to provide the Employer Service may be disrupted and/or impaired by circumstances that are completely out of CEE’s control, including, but not limited to, third party hosting service providers, software and/or hardware functionality due to web traffic and/or your operating system, and local physical geographical or atmospheric conditions;

5.26.2 CEE does not guarantee a fast, faultless, and/or uninterrupted service;

5.26.3 if there is a planned temporary shutdown of the CEE Employer Service or the Site, CEE will notify you in advance provided that CEE has the ability to do so;

5.26.4 CEE has and/or will have no obligation to inform you of an unplanned Employer Service and/or Site Service temporary shutdown.

5.27 CEE reserves its right to delete, without discretion, any expired Job Posting that has been upload onto the Site, including, but not limited to, any information relating to that Job Posting such as Job Details and/or Educators who’ve applied for that Job Posting.

5.28 Using one of our payment methods, you may purchase a variety of Job Post Employer Packages including, Single Job Post, Standard Jobs Package, and/or Gold Jobs Package. The details of the services provided in each Job Post Package is outlined within each of their own individual container boxes found on https://ceeducators.com/packages/. CEE reserves its right to change and/or modify the services in any of the Job Post Packages at its sole discretion.

5.29 In order to include your Job Post within the Featured Jobs list, there will be an additional fee applied to the Single Job Post Package. However, if you should choose to purchase the Standard Jobs Package or the Gold Jobs Package, your Job Post/s will be included within the Featured Jobs List; with the former Featured for a limited duration and the latter Featured for the entire set duration outlined in the Gold Jobs Package.

5.30 Featured Jobs will be listed on our Site Homepage, as well as the CEE Application Homepage, and will be placed within an automated rotational list so that each Featured Job is featured within the first set of the list at least once within a 24-hour time period. Moreover, CEE may, at its sole discretion list Featured Jobs on any of its social media sites for the purpose of targeting qualified educators to register on the CEE Site and apply for Job Posts listed on the Site.

5.31 All Job Posts, including Featured Jobs, posted by Employers will be listed on the CEE Job Lists page at https://ceeducators.com/jobs-list-detailed/ .

 

5.32 Unless under Contract or having negotiated a Contract under the CEE on Demand Service, the number of Job Posts, outlined within any of the 3 Job Post Employer Packages, must be used within the set time frame outlined within in each Job Post Employer Package’s container boxes; thus any unused Job Posts will expire upon the expiry of the purchased Job Post Package.

5.33 Any Job Post Employer Packages purchased on the Site are non-refundable, non-transferable, and/or cannot be traded or exchanged for any other CEE Services. Furthermore, in the event that a Job Posting has been paid for and denied approval, the Single Job Post and/or Job Post credit will be immediately compensated for in the form of a Job Post credit that may be used to post a new Job Post. However, this compensatory Single Job Post must be used before the expiry date of the purchased Job Package and/or the original Single Job Post that was initially denied and compensated for. If the compensatory Single Job Post has not been used by the set expiry date of the purchased Job Package and/or the original Single Job Post, then it will no longer be available for the Employer to utilize upon the CEE Website.

5.34 Included within the CEE Employer Packages are the Basic, Standard Resume, Gold Job Posting and/or Resume Packages. There is also the CEE On Demand Package, that you may purchase in order to gain unlimited access to Job Posts, View Educator Resumes, and other services depending upon which bundle you wish to purchase and what is agreed upon within the contract.

5.35 Purchasing and accessing any of the CEE Employer Packages, including Resume Packs (which can be purchased via any of the payment methods advertised on the Site) is subject to the terms Section 1 and/or Section 5 within the Employer Terms and Conditions set out in the CEE Terms and Conditions.

5.36 Purchasing and accessing any of the CEE Employer Packages, including Resume Packs, are non-refundable, non-transferable, and/or cannot be traded or exchanged for any other CEE Services.

5.37 Resume views allow you the following information on the Educator in which you may select to view:

5.37.1 Profile picture, Job Title, Years of Experience, Nationality, and Teaching Subject/s;

5.37.3 Education, including Qualifications that have been verified by CEE;

5.37.4 Work Experience and Professional Skills;

5.37.5 Educator’s Introduction Video.

5.38 Included with the Educator’s Resume page is their Cover Letter, which may or may not be displayed as it is not a mandatory field that Educators must fill out.

5.39 The price and services of the Resume Packs are outlined within each of its container boxes, which CEE may, at its sole discretion, change.

5.40 If you purchase any of the Resume Packs, other than the Unlimited Resume Pack, you will have a limited amount of Resume View credits for which will be counted as the following:

5.40.1 one credit will be deducted if you choose to View or Shortlist an Educator’s Resume;

5.40.2 only one credit will be deducted if you shortlist an Educator’s Resume that you are simultaneously viewing.

5.41 If an Educator applies to one of your Job Posts, the Resume View resulting from that Educator’s application to your Job Post will not deduct any of your Resume View credits outlined within the Resume Pack you have purchased.

5.42 All of the Resume View credits must be used within the set time frame of the Resume Pack in which they are included. Any unused Resume View credits, at the expiration of the Resume Pack, will be annulled.

5.43 Each individual Resume View Credit, purchased in any of the Resume Packs, may be utilized to access, view, and shortlist one Educator’s Resume via Access Educators.

5.44 Upon using a Resume View Credit, it will be deducted from your remaining Resume View Credits, your Resume View Balance will be immediately be updated, which you may track and view on your Employer Dashboard within the Packages subheading.

5.45 Registered Educators on the CEE Site may update and/or delete their profile at anytime of their choosing. Therefore, you acknowledge and agree that:

5.45.1 information contained with each Educator’s Resume and/or Profile may change and/or be deleted from the Site, either by the Educators themselves and/or the CEE Administration by reason of the Educator/s violating the CEE Terms of Service and/or Agreements;

5.45.2 you may store Educator Resumes on the CEE Site alone by Shortlisting Educators and automatically storing their Resume in your;

5.45.3 you may not download any Educator Resume, including, but not limited to, any CEE Registered Educator’s Education and/or Qualifications, Experience, Skills, Professional Skills, Introduction Video, and/or Profile Picture.

5.46 Any and/or all information provided by the Employer on the CEE Website and/or Application Software, including but not limited to, Profile information, Job Postings, and/or within any communications between the Employer and any CEE registered Educator and/or persons within seeking employment within the sphere of education, shall be accurate, complete, and up to date.

5.47 The Employer acknowledges that all necessary steps must be taken by the Employer to ensure the information provided by the Employer on the CEE Website and/or Application Software is up to date.

5.48 In the case any of the information provided by the Employer is false, inaccurate, and/or not up to date, CEE reserves the right to delete and/or wipe out the account and/or all associated Job Postings and/or communications between Employer and a CEE Educator and/or persons within seeking employment within the sphere of education without notice.

5.49 In the event the Employer sends an Educator, and/or persons seeking employment within the sphere of education, an initial message the receiving party will be immediately notified of the message, which will contain the message itself, the Employer’s institutional name and logo, and the Employer’s email address to which the receiving party may directly respond to.

5.50 In the event the Employer sends a CEE Educator and/or persons seeking employment within the sphere of education, an initial message, that message will contain the Employer’s email address through which Educators, upon wishing to do so, may contact or reply to the Employer directly.

5.51 CEE Website platform does not store any messages outside the initial contact message made by the Employer.

5.50 Any communications between the Employer and the CEE Educator, and/or person seeking employment within the sphere of education, outside the initial message of the Employer is at the sole discretion of the two parties; CEE will not be held in any way responsible and/or liable for any of the private communications between the two stated parties outside the CEE platform.


5.51 The Employer shall at all times:

5.51.1 ensure that any vacancy requirements do not in any way discriminate, on the basis, including but not limited to, race, class, age, disability, and/or sex;

5.51.2 abstain from any form of manipulation which may directly or indirectly influence the search jobs listings of the Employer’s Job Posting/s, including but no limited to, salary information or any other keyword field;

5.52 The Employer is obligated at all times:

5.52.1 to use the CEE Website, including but not limited to, the Job and/or vacancy Post service and Access Resume view service in accordance with any and/or all laws and/or legislation, especially laws regarding data protection, discrimination, and employment, set forth by the constitution of the respective sovereign nation state from which the CEE service are being accessed from;

5.52.2 abstain from infringing upon any intellectual property rights and/or other proprietary rights of CEE and/or any third party;

5.52.2 abstain from infringing upon any intellectual property rights and/or other proprietary rights of CEE and/or any third party;

5.53 When using any of Continental English Educator’s services, the Employer is solely responsible for:

5.53.1 verifying the identity of the Educator and/or person seeking employment within the sphere of education;

5.53.2 ensuring that the Educator and/or person seeking employment within the sphere of education is legally permitted to work in the respective country outlined in the Job Post, including but not limited to providing work visas and/or permits and/or fulfilling any other requirements for foreigners to be employed in the respective country outlined in the Job Post;

5.53.3 verifying the Educator and/or person seeking employment within the sphere of education Qualifications, Experience, Awards, and Skills outlined in their Profile and Resume;



5.54 The Employer is obligated that the uploading of any and/or all Employer Profile information, Job Posting information, and/or information within messages sent to Educators and/or persons within the sphere of education listed on the CEE Website:

5.54.1 does not violate any pertinent regulations, legislation, statutes, codes, and/or laws;

5.54.2 does not offend human dignity and/or be deemed to be offensive or inappropriate in any way, including but not limited to:

5.54.2.1 direct or indirect harassment of any person and/or people;

5.54.2.2 the exhibit pornography and/or sexually explicit material, including any images that display lack of modesty in behaviour and/or clothing;

5.54.2.3 promote misinformation and/or any misleading, false, or inaccurate information;

5.54.2.4 promote discrimination, racism, and/or any physical, psychological, or harm against any group and/or individual;

5.54.2.5 promote any illegal activity;

5.54.2.6 promote anything that is verbally and/or physically threatening, abusive, or defamatory against any person and/or group.

5.55 The employer agrees that they will incur all expenses, costs, and/or losses, including any legal expenses, sustained directly or indirectly by Continental English Educators from any violation by the Employer of Article 5.54 including Clauses and Sub-clauses 5.54.1 to 5.54.2.6

5.56 The Employer agrees that it is solely responsible for any and all use of the services provided by CEE including the Job Post, Access Educators, contact Educators and/or persons within the sphere of education listed on the CEE Website, and management of Educators and/or persons within the sphere of education upon the successful recruitment service provided by CEE including the CEE on Demand service.

5.57 The Employer acknowledges and agrees that although CEE does its utmost to make sure the Educator’s, and or persons within the sphere of education, provided information is accurate, CEE can not guarantee that it will be so due to electronic forms of manipulation that may be able to exploit any loopholes within online verification systems.

5.58 The Employer also acknowledges and agrees that CEE does not have any control, and therefore no liability, as to the response, behaviour, and quality of any Educator, and/or person seeking employment within the sphere of education, upon the Employer’s initial message to the Educator and/or persons within the sphere of education.

5.59 The Employer further acknowledges and agrees that any Educator, and/or person seeking employment within the sphere of education, including any that the Employer may have shortlisted, received applications from, or sent messages to, may from time to time modify, remove, and/or delete their Profile and/or Resume information from the CEE Website. Thus the Employer acknowledges and agrees that CEE has no responsibility and/or liability with regards to the completeness, availability, and/or quality of the Educator’s, and/or persons seeking employment within the sphere of education.

5.60 The employer acknowledges and agrees that CEE will not be held responsible and/or liable in the event that any Educator, and/or person seeking employment within the sphere of education, deletes their Profile and/or Resume whilst having been shortlisted, viewed, and/or contacted by the Employer regardless of whether or not the Employer has purchased any Access Educator package and been charged for the view of the shortlisted and/or viewed Educator, and/or person seeking employment within the sphere of education; thus, the deducted view concerning that Educator, and/or person seeking employment within the sphere of education, is non refundable.

5.61 The Employer agrees to keeping confidential all information, data accessed, and/or services provided by CEE, including recruitment services, Educator, and/or person seeking employment within the sphere of education, Profile and/or Resume, communications between the Employer and CEE or any Educator, and/or person seeking employment within the sphere of education, and/or any contract details between CEE and the Employer.

5.62 Any contract signed between CEE and the Employer will be specifically for the respective Employer; thus the Employer agrees to not reuse and/or distribute the CEE Employer service contract to any third party whatsoever.

5.63 The Employer agrees to not to route any link from the CEE Website, including but not limited to any Job Post, News article, Educator, and/or person seeking employment within the sphere of education, Profile and/or Resume, CEE Vacancies, and/or anything within the CEE Website and/or Application Software service.

5.64 The Employer agrees to having their Profile and/or Contract terminated, with notice via email, by CEE if Article 5.63 is found to be violated by the Employer.

5.65 The Employer agrees that any losses, costs, legal fees, expenses, and/or liabilities stemming from any violations by the Employer with regards to Section 5, including all Articles, Sub-articles, and/or clauses, suffered by CEE will be incurred by the Employer.

6.1 Continental English Educators Limited is the sole owner of all intellectual property rights with regards to all content within the CEE Website, including but not limited to, all Educator and/or persons seeking employment within the sphere of education, services, Employer services, Employer contracts, Recruitment, Job Post, and/or Access Educator resume services.

6.2 All Users CEE Website, whether registered members and/or visitors are strictly forbidden from:

6.2.1 copying, editing, reproducing, uploading, and/or incorporating any of the Continental English Educator logos, company names and/or abbreviations, slogans, trademarks, features, CEE Website coding, HTML, and/or any coding functions of the entirety of the CEE Website and/or Application Software service;

6.2.2 replacing, altering, removing, using, hacking and/or modifying any registered and/or unregistered Continental English Educator logos, company names and/or abbreviations, slogans, trademarks, features, and/or designs owned by and/or within the CEE Website and/or Application Software service.

6.3 All Users CEE Website, whether registered members and/or visitors agree that by using and/or visiting the CEE Website that violation of Article 8.2, Sub-articles 8.2.1 to 8.2.2 will be considered an infringement on the intellectual property rights of Continental English Educators and that CEE reserves the right to pursue legal action against such violators.

6.4 The Employer agrees to grant CEE all permissions cost and/or royalty free to display and publish on the CEE Website Employer information including the Employers logo, full address, website address, the Employer’s About Institution information, and any other related Job Posts related to that of any of the Employer’s Job Post.

6.5 The Employer also agrees to own or have the right to any intellectual properties the Employer posts on the CEE Website, including but not limited to logo, website address, the Employer’s About Institution information, and the Employer’s Institution Name.

6.6 The Employer further agrees to compensate for any losses, costs, legal fees, expenses, and/or liabilities stemming from any violations by the Employer with regards to Section 8, including all Articles and/or Sub-articles incurred by CEE.

7.1 Any Employer profile who is registered with CEE will be visible:

7.1.1 upon clicking on the Employer logo within any of the Employer’s respective Job Posting Detail or Job Overview page;

7.1.2 to any member of the public visiting the CEE website and/or Users who are registered or visiting the CEE Website;

7.1.3 only when they have an active Job Posting or Job Postings listed within the CEE Featured Jobs List and/or CEE Jobs List.

7.2 Whosoever uses the CEE Website agrees to comply with data protection laws, regulations, and/or legislation of the respective nations state from which they access any of CEE’s Website and/or Application Software service.

7.3 Any CEE Educator’s, and/or person seeking employment within the sphere of education, data, including that within the Access Educator resume service, will be shared only with registered CEE Employers and/or Institutions.

7.4 Any CEE Educator, and/or person seeking employment within the sphere of education, who uses the CEE Application Software service and/or Portal service, acknowledges and agrees to share with Private Individual, student, and/or tutee, and/or Private Corporation:

7.4.1 their data (excluding date of birth, phone number, and/or email address) including their Profile Photo, First and Last name, Gender, Nationality, Job Title, Qualifications, Years of Experience, Introduction Video, Cover Letter, Education, Work Experience, Skills, Honours and Awards, and Ratings;

7.4.2 their municipal location, in any district of their choice within that municipality, if they should choose and agree to the terms for utilizing the CEE In-home tutor service;

7.5 CEE does not share any data regarding the following with any third party whatsoever:

7.5.1 the Educator’s, and/or person seeking employment within the sphere of education, date of birth, phone number, email address, and/or passwords with any third party whatsoever;

7..5.2 any content and/or details within a Contract between CEE and any CEE registered Employer and/or Institution;

7.6 Any Employer and/or Educator, and/or person seeking employment within the sphere of education, acknowledges and agrees to being solely responsible for:

7.6.1 complying with any data protection laws, legislation, and/or regulations of the respective nations state from which they access any of CEE’s Website and/or Application Software service;

7.6.2 any uploading, inputting, and/or processing of data comply with all data protection laws, legislation, and/or regulations of the respective nations state from which they access any of CEE’s Website and/or Application Software service;

7.6.3 keeping confidential any data on the CEE Website and/or Application Software service, including, but not limited to,:

7.6.3.1 Educator’s, and/or person seeking employment within the sphere of education, data;

7.6.3.2 communications between any parties registered on the CEE Website and/or Application Software service;

7.6.3.3 CEE Employer Packages;

7.7 Any CEE Website and/or Application Software service, and/or Portal User, including Employer, Educator, and/or person seeking employment within the sphere of education, private individual, student, and/or tutee acknowledges and agrees to compensate CEE for any losses, costs, legal expenses, and/or liabilities stemming from the mentioned Users’ failure to comply with the Articles, Sub-articles, and/or Clauses stated within the entirety of Section 9 of the CEE Terms and Conditions.
